Membership Terms

1. Who this agreement is with

These Membership Terms are an agreement between Pilon Qubit Ventures LLC, a Texas limited liability company doing business as Adelante Sites ("Adelante Sites," "we," "us"), and the business that subscribes to a membership ("you"). These Terms, together with the tier and price you accept at checkout, are the entire agreement between us and replace any earlier proposal, quote, or conversation.

2. Notices

Notices to you take effect when sent to the email address on your account. Notices to us go to hello@adelantesites.com, and legal notices also by mail to Pilon Qubit Ventures LLC, 401 E Sonterra Blvd Ste 375, San Antonio, TX 78258. Either of us may change our address by written notice to the other.

3. What your membership includes

Every tier includes a site in English and Spanish and the Own It in 24 ownership path in clause 6.

Content edits. A content edit is a change to the text, images, prices, hours, or contact details on a page that already exists. Send them by text or email and we publish them within two business days. New pages, a redesign, or work that needs new photography or copywriting are quoted separately. We ask that edit requests stay within what one business reasonably needs to keep its site current, and we will tell you before anything falls outside that rather than billing you by surprise.

Launch. We aim to have your site live within seven days of receiving your content. That is a target, not a guarantee, and the clock starts when we have what we need from you.

4. Billing, renewal, and taxes

Your build fee is charged when you sign up. Your membership fee is then charged automatically every month on the same date, through Stripe, in US dollars. Your membership renews automatically each month and continues until you cancel it.

All prices exclude sales, use, and similar taxes. Where we are required to collect them we add them to your invoice.

If a payment fails we will retry it and email you. If it remains unpaid fifteen days after the due date we may take your site offline until it is paid. Suspension does not cancel your membership or pause the amounts owed.

There is no option to pause a membership. If you need to stop, you cancel under clause 5.

5. The twelve-month start, and cancelling

Your membership begins with a twelve-month term, starting the day your site goes live. You can cancel at any time.

Cancelling during the first twelve months. We do most of the work on your site before your first month, and your build fee covers only part of it. So if you cancel during the first twelve months, a cancellation fee equal to three months of your membership rate becomes due. It is our reasonable estimate of the build cost we have not yet recovered, not a penalty.

Cancelling from month twelve onward. No fee of any kind.

In both cases. Your site stays live through the end of the billing period you have already paid for, then goes offline. You keep your domain and can transfer it to any registrar at that registrar's then-current cost, usually around $25. We send you a complete export of your site content at no charge, on request.

How to cancel. From your account dashboard, or by emailing hello@adelantesites.com. Both are equally valid and we confirm in writing.

If you buy the site instead. Buying full ownership under clause 6 ends your membership without any cancellation fee. You never pay both.

6. Own It in 24

While you are a member. We own the site code, the design system, and the hosting setup. You own everything you give us: your text, photos, logo, reviews, customer data, and any materials you supply. You also own your domain throughout.

At twenty-four payments. When we have received twenty-four monthly membership payments from you, we assign to you, effective on that date and without either of us needing to do anything further, all of our right, title, and interest in the bespoke code, design, text, and images we created specifically for your site, and we transfer your domain to any registrar you name at no charge from us. We will sign any further document you reasonably need to record that assignment.

What the assignment does not cover. Your site is built on third-party software, fonts, and services, including open source frameworks and paid tools, that we do not own and cannot give you. Those continue under their own licenses, and we will tell you what they are. It also does not cover the reusable components, templates, and internal tooling we use across every Adelante Sites customer. For those we grant you a perpetual, worldwide, royalty-free license to keep using them as part of your site, and you may modify them, but they do not become yours to resell.

Buying it early. At any time you may buy full ownership by paying (24 minus the number of monthly payments we have received) multiplied by your monthly rate. On Visible at month twelve, that is 12 × $189 = $2,268. On payment, the same assignment and the same exclusions in this clause apply.

Counting payments. We count monthly membership payments actually received, not calendar months. A payment that fails and then succeeds on retry counts once, when it succeeds. A refunded or charged-back payment does not count.

After you own it. If you want us to keep hosting and updating the site, we offer that at $49 per month. It is optional and you can stop it at any time.

7. Your content and your warranty to us

You confirm that everything you give us, including text, images, logos, and customer reviews, is yours, properly licensed to you, or in the public domain, and that we may publish it on your site. If someone claims otherwise, you will defend us and cover what that claim costs us.

8. Preview sites

We sometimes build a preview site for a business from information that business has already made public, to show what a membership site could look like. We show that preview to the business first. Previews are not indexed by search engines. We publish one to our portfolio only with written permission. Any business can ask us to take a preview down by emailing hello@adelantesites.com, and we do so within two business days, whether or not that business is a customer.

9. Service levels

Memberships are provided without a service level agreement or an uptime guarantee. We work to keep your site fast and online and we will tell you when something is wrong, but we do not commit to a specific availability figure.

10. Warranties, disclaimer, and limit of liability

We provide the service on an as-is basis. TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. We do not warrant that your site will be free of errors or interruptions, or free from viruses or malicious code.

Neither of us is liable to the other for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, even if warned they were possible.

Except for your obligations under clause 7 and any amounts you owe us, the total liability of either of us arising out of or relating to these Terms, whether in contract, tort, or otherwise, will not exceed the total amount you paid us in the twelve months before the event that gave rise to the claim. This is a single aggregate limit across all claims, not a limit per claim.

11. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute is subject to the exclusive jurisdiction of the state and federal courts in San Antonio, Texas. Either of us may still bring a qualifying claim in small claims court.

12. Changes to these Terms

We may update these Terms. We will email you at least thirty days before a material change takes effect. If you keep your membership after that date, the new Terms apply. If you would rather not accept them, you may cancel, and if that cancellation happens only because of our change, the cancellation fee in clause 5 does not apply. We keep every previous version of these Terms dated and available on request.
